1.1 These terms ("Bin Terms") apply to any individual or business ("you", "the Customer") who requests, receives, or uses a ScrapBays-branded scrap metal collection bin ("the Bin") supplied by ScrapBays Limited ("ScrapBays", "we", "us").⠀
1.2 By accepting delivery of a Bin, or by continuing to use a Bin after these Bin Terms are made available to you, you agree to be bound by them. These Bin Terms sit alongside, and do not replace, the general ScrapBays [Platform Terms of Use] and [Privacy Policy], which continue to apply to your use of the ScrapBays app and marketplace.⠀
1.3 ScrapBays is a marketplace facilitator, not a buyer. Unlike some collection bin services, ScrapBays does not purchase, take title to, or act as a buyer of any material placed in the Bin at any point. Our role is limited to (a) supplying the Bin, and (b) providing the ScrapBays marketplace through which you can list material for sale to independent, verified third-party buyers and collectors ("Buyers"). Any sale of material is a contract directly between you and the Buyer you choose - ScrapBays is not a party to that sale.⠀
2.1 ScrapBays will arrange delivery of one 240L branded collection bin to the site or address you specify ("the Site"), subject to a refundable deposit and non-refundable delivery charge set out in Clause 4.
2.2 The Bin remains the property of ScrapBays at all times. You do not acquire any ownership interest in the Bin by taking delivery of it. You are responsible for the Bin and its contents from the point of delivery until it is collected or returned in accordance with these Bin Terms.⠀
2.3 You agree to:⠀
- keep the Bin at the Site, or another address agreed with us in advance;⠀
- use the Bin only for scrap metal and materials reasonably intended to be listed for sale via the ScrapBays marketplace;⠀
- not use the Bin for general waste, hazardous materials, or anything unlawful to store or transport;⠀
- take reasonable care of the Bin, including protecting it from theft, vandalism, and weather damage where practicable;⠀
- allow reasonable access for collection or inspection.
- list material accumulated in the Bin via the ScrapBays marketplace at least once every quarter.
2.4 You must not sell, sub-let, relocate off-site, or otherwise dispose of the Bin without our prior written consent.
2.5 If you fail to list material at least once in any quarter, we will flag this with you. Continued failure to list may result in us exercising our rights under Clause 6 to recall the Bin.
3.1 You own the material placed in the Bin at all times, up until the point a sale to a Buyer completes in accordance with Clause 5. ScrapBays never takes ownership of, or any interest in, the material.⠀
3.2 You are responsible for ensuring you have the legal right to sell any material you place in the Bin, and that it has been obtained and is being disposed of lawfully.
4.1 A refundable deposit of £40 is payable before a Bin is delivered. This deposit is held against loss of, or damage to, the Bin, and is not a charge for use of the Bin itself.⠀
4.2 A non-refundable delivery charge of £11 is also payable before a Bin is delivered. This charge covers the cost of delivering the Bin to the Site and is not refundable under any circumstances, including on return or collection of the Bin.
4.3 The deposit will be refunded in full when the Bin is returned or collected in the same condition as delivered, fair wear and tear excepted, within 14 business days.⠀
4.4 We may deduct from the deposit any reasonable costs of repair or replacement where the Bin is lost, stolen due to your failure to take reasonable care, or damaged beyond fair wear and tear. We will provide evidence of any such costs on request.⠀
5.1 When you are ready to sell material accumulated in the Bin, you list it via the ScrapBays app, providing an accurate description, estimated weight, material type, and photographs where required.⠀
5.2 Verified Buyers on the ScrapBays marketplace may then submit competing offers for the listed material. You are free to accept, reject, or ignore any offer at your sole discretion. ScrapBays does not guarantee that any offer will be made, or that any particular price will be achieved.⠀
5.3 Once you accept an offer, collection, weighing, and payment are arranged directly between you and the Buyer, in accordance with the ScrapBays Platform Terms of Use. ScrapBays is not responsible for:⠀
- the accuracy of any weight recorded at the point of collection;⠀
- the timeliness of collection or payment;⠀
- the conduct of any Buyer;⠀
- any dispute between you and a Buyer regarding price, weight, condition of material, or payment.⠀
5.4 We encourage you to deal only with Buyers verified on the ScrapBays platform and to raise any concerns about a transaction with us so we can investigate in line with our Buyer verification process.⠀
6.1 Either party may end this Bin agreement at any time by giving the other reasonable notice.⠀
6.2 On request, or on termination of this agreement, you must make the Bin available for collection within 3 business days. We will arrange collection free of charge.⠀
6.3 If the Bin is not made available for collection within a reasonable period after request, we reserve the right to charge a reasonable retrieval fee and/or retain some or all of the deposit.⠀
6.4 We may suspend or withdraw the Bin service, or refuse to deliver a Bin, at our discretion - for example, where the Site is unsuitable, where the Bin has been misused, where you have failed to list material in accordance with Clause 2.3, or where we reasonably believe the Bin is being used for materials or purposes outside Clause 2.3.⠀
7.1 Nothing in these Bin Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be limited or excluded.⠀
7.2 Subject to Clause 7.1, ScrapBays' total liability arising out of or in connection with the Bin or these Bin Terms is limited to the value of the deposit paid, or £40, whichever is greater.⠀
7.3 We are not liable for any loss arising from your dealings with a Buyer, including non-payment, underpayment, or disputes over material weight or quality - these are matters between you and the Buyer.⠀
7.4 We are not liable for indirect or consequential losses, including loss of profit or loss of business opportunity.
8.1 We will handle any personal data you provide in connection with the Bin service in accordance with our Privacy Policy, available at - https://www.scrapbays.co.uk/privacy-policy
9.1 We may update these Bin Terms from time to time. We will give reasonable notice of any material change.
9.2 If any provision of these Bin Terms is found unenforceable, the remaining provisions continue in full force.
9.3 These Bin Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.⠀
9.4 Nothing in these Bin Terms creates a partnership, agency, or joint venture between you and ScrapBays, or between you and any Buyer.⠀
